Tri State Ventures is ever-mindful that some of the worlds greatest companies began with angel investments and we take our commitment to that tradition seriously. The members of TSV collaborate with each other on due diligence and then make individual decisions regarding potential investments.
TSV is focused on seed-stage companies with high-growth potential, strong management teams, defensible business plans, proprietary intellectual property, and large target opportunities. We are equity investors and like other early-stage investors, after investing we expect to hold a minority position of between 20-35% in your company. This of course is subject to negotiation.
TSV does not charge any fee for processing your application.

TSV members invest in companies in the Northeast United States with the potential to rapidly scale into market and financial leadership. This usually implies potential for high growth, a strong market position, and a sustainable advantage. Specifically, members look for:
TSV has developed a comprehensive screening process to help members make investment decisions.
To be considered for review by our members, please submit an application. TSV members accept only electronic submissions. Do not include confidential information. Neither Tri State Ventures nor its members sign Non-Disclosure Agreements for initial proposals. If there is sufficient interest, an NDA may be negotiated with individual members at a later time.
TSV staff members perform an initial screening of the application to ensure it is within our scope of interest. Later, up to four pre-screened companies present to a panel of angel investors at our monthly meeting. Each presentation consists of ten minutes of PowerPoint and ten minutes of questions and answers.
Due diligence is conducted by individually interested angel investors, and consists of verifying representations by the entrepreneur, speaking with customers, reviewing agreements and patents (if any), checking references, backgrounds, etc.
Once due diligence is satisfactory, a term sheet will be offered. TSV members' terms of investment follow fairly "standard" terms for financings developed over the years by VCs and other sophisticated investors.
TSV members look for opportunities where the capital sought will take the company to the next level, and materially increase its valuation. TSV investments often bridge the gap between proof of concept to a second round. A company must be able to demonstrate how it will use members' investment to complete at least some of the following:
